This Terms & Conditions For Service & Product Use covers any and all programs, products, and services including: Energy Healing, Life Coaching, Human Design Readings, Insight Cards, eJournals, eBooks, eCourses, Group Coaching Programs, and/or VIP Days (hereinafter “Content”) offered by Healing With Sharlene Starr and/or PHOEBUS STUDIO, which are part of Red Tree Consulting Ltd. (“RTC", "Company”, “We”, or “Us”) and You (“Client", "You”, "Your", "I", or "Me") and in any other format including e-mail, social media channels, or any other forms of communication, whether paid or free.
2. User License/ No Transfer Of Intellectual Property
All content such as text, graphics, logos, images, as well as the compilation thereof, and any software used is the property of the Company or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.
The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.
Your purchase and/or participation does not result in a transfer of any intellectual property to You, and, as a condition of purchase and/or participation You agree to observe and abide by all copyright and other intellectual property protection.
You are granted a single-use, non-exclusive, non-transferable, revocable license to access and use the Content. You hereby agree that You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Content.
The Content is not for resale. Your purchase and/or participation does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use, and will make no other use of the content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of the Company or our licensors except as expressly authorized herein.
You hereby agree that any infringement of the Company’s intellectual property shall result in an immediate termination of the license granted hereunder. To be clear, if you violate the Company’s intellectual property rights, your access to ongoing Content will be terminated immediately, you will be removed from all applicable Social Media groups and you shall not be entitled to a refund of any portion of the fees.
To reiterate, permission is granted to temporarily download one copy of the applicable purchased Content for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- modify or copy the materials;
- use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
- remove any copyright or other proprietary notations from the materials; or
- transfer the materials to another person or 'mirror' the materials on any other server.
- This license shall automatically terminate if you violate any of these restrictions and may be terminated by Company at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Waiver: You knowingly, voluntarily, and expressly waive any claim that Sharlene Starr, Healing With Sharlene Starr, PHOEBUS STUDIO, Red Tree Consulting Ltd., all teachers, guest lecturers, any or all subordinate or affiliated people or organizations, the owner, or the leaseholder of the building, shall not be liable for any claim, demand, cause of any action of any kind, whatsoever for injuries, damages, or loss of any kind that You may sustain as a result from, or related to, participating in programs or challenges held by RTC. This "Waiver" is binding on myself, Your heirs, Your executors, administrators, personal representatives and assigns.
Under no circumstances will the Company, or any of its representatives, be held liable for any special or consequential damages that result from the use of, the improper use of, or the inability to use the information or strategies communicated to you through the Content.
You hereby assume responsibility for your actions and the results you create or do not create as a result of your actions or inaction. You also understand that it is entirely your right and responsibility to decide the extent to which you make use of this Content and you therefore agree not to attempt to hold the Company liable for any such actions or results of those actions, under any circumstances. Your level of success in attaining results is dependent upon a number of factors beyond our control, including your level of personal development, knowledge, ability, dedication to the process, personality, and mindset.
Media Release: You hereby consent to and authorize the use and reproduction by RTC of any photographs, video recordings, email content, testimonials, or audio recordings along with any social media posts, and/or social media comments You share for use in websites, in print, and other media for the purposes of promotion, illustration, advertising, publication, and sales without compensation. All recorded media, prints, and created media from the content shall constitute the property of RTC.
The Company’s Terms & Conditions For Service & Product Use, Privacy Policy, Disclaimer, Waiver, and Media Release are hereby incorporated by reference into this agreement. Except as modified by this Agreement, each of those agreements and policies shall apply fully to your purchase and/or participation in and with the Content.
The Client understands Sharlene Starr (herein referred to as “Consultant”) and RTC, is not an employee, agent, lawyer, doctor, manager, therapist, public relations or business manager, registered dietician, or financial analyst, psychotherapist or accountant. Client understands that Consultant has not promised, shall not be obligated to and will not; (1) procure or attempt to procure employment or business or sales for Client; (2) perform any business management functions including but not limited to, accounting, tax or investment consulting, or advice with regard thereto; (3) act as a therapist providing psychoanalysis, psychological counseling or behavioral therapy; (4) act as a public relations manager; (5) act as a publicist to procure any publicity, interviews, write-ups, features, television, print or digital media exposure for Client; (6) introduce Client to Consultant’s network of contacts, media partners or business partners. Client understands that a relationship does not exist between the parties after the conclusion of these programs. If the Parties wish to continue their relationship, they shall execute a separate agreement.
4. No-Refund Policy
RTC abides by a strict no-refund policy. By entering into this Agreement, YOU agree and understand that you are permanently waiving the right seek or claim any refund for the Content. YOU further acknowledge, represent, warrant, and agree that by making a purchase of said Content that You are taking full responsibility for your own success and therefore you will not request a refund.

5. Confidentiality
The Company respects the privacy of its clients and will not disclose any information You provide except as set forth in this Agreement. As a condition of purchasing or participating in the Content, you hereby agree to respect the privacy of participants and to respect the Company’s confidential information.
Specifically, you shall not share any information provided by the Content participants outside of the bounds of the Content unless you receive express written permission from such other participant to share the information. Similarly, the Content contains the Company’s proprietary methods, processes, forms, templates, and other information. You hereby agree not to share the information provided to You in the Content with anyone other than the Company, it’s owners and employees, and other Content participants.
6. Outcomes Disclaimer
Every effort has been made to accurately represent these programs and their potential.
There is no guarantee that you will experiencing any benefits or outcomes using the techniques and ideas in these materials. Examples in these materials are not to be interpreted as a promise or guarantee of outcomes. Outcome potential is entirely dependent on the person using our programs, ideas and techniques. We do not position these programs as “get-well schemes.”
The statements and the strategies offered in the Content are based on the opinions, experiences, and coaching strategies of the Company. 7. Music Licence
RTC has the applicable Online Audiovisual Services Tariff 22.D.1 license in place through SOCAN which grants the right to use all music works on RTC's social media accounts and in connection with the operation of the On Demand Stream service included within the Content.
8. Miscellaneous
RTC reserves the right to modify the terms of this Terms & Conditions For Service & Product Use at any time. It is your responsibility to check back to this statement periodically for changes. By using this site after RTC posts any changes, you agree to accept those changes, whether or not you have reviewed them.
